Terms of Service

These Terms of Service (these "Terms") are a binding contract between you ("Customer," "you," or "your") and Auriko, Inc. ("Auriko," "we," "us," or "our"), a Delaware corporation.
This Agreement governs your access to and use of our website at https://auriko.ai (the "Site"), together with our related application programming interfaces, dashboards, documentation, and any other websites, networks, or services that link to these Terms (collectively, the "Service"). Auriko and Customer may be referred to herein collectively as the "Parties" or individually as a "Party."
Agreement Acceptance
By clicking "I Accept" or by accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein (together, the "Agreement"). If you do not agree, you must not use the Service.
Data Commitment
Auriko does not train machine-learning models on your prompts, outputs, or other content, and does not sell or license your data to third parties. This commitment is binding and set forth in detail in Section 6.2.
1. Definitions
a. "Aggregated Data" means data and information related to or derived from Customer Data or your use of the Service that is used by Auriko in an aggregated and anonymized manner, including to compile statistical and performance information related to the Service.
b. "API Key" means the authentication credential issued to you for programmatic access to the Service.
c. "BYOK" (Bring Your Own Keys) means the optional feature allowing you to provide your own API keys for third-party LLM providers, which are used by the Service to route requests on your behalf.
d. "Credits" means pre-paid usage credits denominated in United States dollars (USD) that are linked to your workspace and used to pay for API calls and access to the Service.
e. "Customer Data" means prompts, responses, files, metadata, and other content submitted to or generated by the Service under your account. Customer Data does not include Aggregated Data.
f. "Input" means any prompt, instruction, file, image, or other content that you submit to the Service for processing by an LLM Provider.
g. "LLM Provider" means any third-party provider of large language model services to which the Service routes your requests, including but not limited to OpenAI, Anthropic, Google, and other providers listed on the Site.
h. "Output" means any content generated by an LLM Provider in response to your Input, as returned to you through the Service.
2. Service Overview
The Service is a multi-model LLM routing platform. Auriko receives your Input, forwards it to one or more LLM Providers you select (or that you authorize us to select automatically based on your routing preferences), and returns the provider's Output. The Service supports access to a wide range of models through a unified, OpenAI-compatible API.
Auriko may add, modify, suspend, or discontinue models, features, or pricing at any time.
3. Eligibility
You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you are at least 18 years of age; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws and regulations. If you are using the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. Accounts and Registration
Most features of the Service require an account. You agree to provide and maintain accurate, current information. Keep your credentials confidential. You are responsible for all activity under your account and all actions taken using your API Keys. Notify us immediately at support@auriko.ai if you suspect unauthorized use.
4.1 Single Account Policy
You may maintain only one account per individual or legal entity. Creating multiple accounts to circumvent usage limits, obtain additional promotional credits, or for any other purpose is strictly prohibited and may result in suspension or termination of all associated accounts.
4.2 Account Verification
We may require verification of your identity, contact information, or other details before granting access to certain features, promotional credits, or higher usage tiers.
5. Fees, Credits, and Payment
5.1 Pre-Paid Usage Credits
Access to the Service requires the purchase of pre-paid Credits linked to your workspace. You will have an opportunity to review the applicable fees before each purchase. Credits are denominated in United States dollars (USD). The minimum purchase amount is $5.00. We reserve the right to change limits and prices with at least 14 days' notice.
5.2 Refunds
Refunds for unused Credits may be requested within 24 hours from the time the transaction was processed. If no refund request is received within 24 hours following the purchase, any unused Credits become non-refundable. To request a refund within the eligible period, contact support@auriko.ai or use the refund option on the Credits page. Only the unused Credit amount will be refunded to your original payment method; platform and payment processing fees are non-refundable.
5.3 Credit Expiration
Auriko reserves the right to expire unused Credits 365 days after purchase. We may provide notice before Credits expire, but are not obligated to do so. Expired Credits cannot be restored or refunded.
5.4 Promotional Credits
We may offer promotional or free trial credits ("Promotional Credits") at our sole discretion. Promotional Credits are limited to one grant per individual or organization, may expire after a specified period, cannot be transferred or exchanged for cash, and may be revoked if we detect abuse (e.g., multiple account creation or false information).
5.5 Payment Processing
Payments are processed by our third-party payment processor (currently Stripe). Your use of Stripe is subject to its separate terms, and you warrant that funds used to purchase Credits are not proceeds of crime.
5.6 Auto-Recharge
You may optionally enable automatic credit purchases ("Auto-Recharge") to maintain a minimum balance in your workspace. When enabled:
- Credits will be automatically purchased when your balance falls below your chosen threshold;
- the recharge amount and threshold are configurable in your workspace settings;
- you authorize us to charge your saved payment method for each automatic purchase;
- Auto-Recharge can be disabled at any time in your workspace settings;
- we will notify you of each automatic purchase and any failed recharge attempts.
5.7 Budget Controls
The Service provides optional budget control features, including per-workspace and per-API-key spending limits and configurable alert thresholds. We make reasonable efforts to enforce your configured budget limits and to notify you when spending approaches or reaches your thresholds.
5.8 Fraud Prevention
Auriko reserves the right to preauthorize payment methods, apply spend limits, suspend accounts for suspected fraud, and employ third-party fraud-detection tools to manage risk.
5.9 Taxes
All fees are exclusive of taxes. You are responsible for all applicable sales, use, excise, and similar taxes imposed by any governmental authority, other than taxes on Auriko's income.
6. Data, Logging, and Privacy
6.1 Your Data
You retain all intellectual property rights in Customer Data, subject to the licenses granted in Section 9.
6.2 No Training / No Selling
Auriko does not:
- train any proprietary or third-party machine learning models on Customer Data; or
- sell, rent, or license Customer Data to third parties.
6.3 Logging Options

You can toggle logging at any time in your workspace settings. Changes apply prospectively.
6.4 Third-Party Providers
When you route Input to an external LLM Provider, that provider's data handling practices apply in addition to ours. We publish a matrix of provider practices (logging, training, region) in the dashboard and update it when notified by providers. However, we cannot guarantee its accuracy, and you should verify provider terms yourself.
6.5 Privacy Policy
Our Privacy Policy explains how we collect and use personal data and is incorporated into this Agreement by reference.
6.6 Data Breach Notification
In the event of a data breach affecting your Customer Data, we will notify affected customers in accordance with applicable law.
6.7 Data Processing Agreement
If you process personal data subject to GDPR, CCPA, or similar data protection laws through the Service, a Data Processing Agreement ("DPA") is available on request from support@auriko.ai. Once executed, the DPA forms part of this Agreement.
6.8 Industry-Specific Regulations
The Service is not designed to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), the Payment Card Industry Data Security Standard (PCI-DSS), or the Gramm-Leach-Bliley Act (GLBA). If your use of the Service would be subject to such regulations, you may not use the Service for those purposes unless you have entered into a separate written agreement with Auriko addressing such compliance. You must not submit protected health information, payment cardholder data, or other regulated data categories through the Service without Auriko's prior written approval.
7. Security Standards
7.1 Security Commitments
We are committed to maintaining robust security standards to protect your data and the Service:
- Encryption: All data is encrypted in transit using TLS 1.2 or higher and at rest using industry-standard authenticated encryption.
- Access Controls: We implement role-based access controls for workspace and administrative access to production systems.
- Regular Testing: We conduct regular security assessments, penetration testing, and vulnerability scans.
- Incident Response: We maintain documented incident response procedures and security monitoring systems.
These security measures are implemented using commercially reasonable efforts. While we strive to maintain the highest security standards, no system is completely secure, and we cannot guarantee absolute security.
8. Bring Your Own Keys (BYOK)
8.1 BYOK Feature
The Service allows you to provide your own API keys for third-party LLM Providers ("Customer Keys"). When you use BYOK, the Service routes requests using your Customer Keys instead of Auriko's shared provider keys.
8.2 Your Responsibilities
When using BYOK, you are solely responsible for:
- the security and confidentiality of your Customer Keys;
- compliance with the terms of service of the applicable LLM Provider;
- any charges incurred directly with the LLM Provider through your Customer Keys; and
- ensuring your Customer Keys have appropriate permissions and rate limits.
8.3 Key Storage
Customer Keys are encrypted at rest and in transit. We access Customer Keys solely to route requests on your behalf. We do not use, copy, or share Customer Keys for any other purpose.
8.4 Key Revocation
You may remove or rotate your Customer Keys at any time through your workspace settings. Auriko is not responsible for any unauthorized use of Customer Keys that occurs before you revoke them.
9. User Content Licenses
9.1 License to Provide the Service
You grant Auriko a worldwide, revocable, non-exclusive, royalty-free license to use, reproduce, store, and transmit Customer Data solely:
- to provide, secure, and maintain the Service;
- to comply with applicable law or a binding order; and
- as otherwise described in these Terms.
9.2 Routing and Categorization License
In using the Service, you grant Auriko a worldwide, non-exclusive, royalty-free license to process your Input in real time solely for the purpose of making routing decisions (e.g., selecting the optimal LLM Provider based on your routing preferences, cost, latency, and model capabilities). This processing is transient — we do not store or log Input for routing purposes unless you have opted into logging. We do not associate routing metadata with any specific user or account except in aggregated, anonymized form for publishing usage statistics and model performance data.
9.3 Metrics and Aggregated Data
We may process Customer Data in aggregated, anonymized form to generate usage statistics, improve capacity planning, and publish model performance dashboards, provided that such data cannot reasonably be used to identify you or your end users.
9.4 Output Ownership
Your ownership rights in Output are subject to the terms of the applicable LLM Provider. Auriko does not claim any ownership rights in Output. You are responsible for reviewing the applicable LLM Provider's terms to understand your rights in any Output.
9.5 Your Representations
You represent that you have all rights and lawful bases necessary to submit Customer Data and to authorize the processing described in this Agreement. You must not submit special-category data (e.g., health, biometric, or children's data) as Input unless you have disabled logging and obtained all required consents.
10. Acceptable Use
You must not:
- use the Service for any unlawful, harmful, or abusive purpose;
- violate any applicable law, regulation, or the terms of any LLM Provider you access through the Service;
- infringe third-party intellectual property rights;
- probe, scan, or test the vulnerability of the Service without written permission;
- upload, transmit, or introduce any virus, worm, Trojan horse, or other malicious or harmful code through the Service;
- interfere with or disrupt the Service or its security measures;
- attempt to scrape, download, or bulk-export data except via documented APIs;
- resell or sublicense the Service without our written consent;
- create multiple accounts or provide false information to circumvent usage limits or obtain additional promotional benefits;
- use automated means to create accounts or abuse promotional offers;
- reverse engineer, decompile, disassemble, or attempt to derive the source code of our routing algorithms, load balancing systems, or proprietary optimization technologies;
- access or use the Service for purposes of competitive analysis of Auriko or the Service, or for the development, provision, or use of a competing software service or product; or
- attempt to do any of the above, or assist or permit any person in doing so.
We reserve the right to screen, remove, or disable access to any Customer Data that violates this Agreement, without prior notice. We may suspend or terminate accounts violating this Section.
11. Intellectual Property
11.1 Auriko IP
The Service, including all software, algorithms, graphics, documentation, and content (the "Materials"), is owned by Auriko or its licensors and protected by intellectual property laws. Except as expressly stated in these Terms, nothing grants you any rights in the Materials. We reserve all rights not expressly granted.
11.2 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Auriko a perpetual, irrevocable, royalty-free license to use, modify, and incorporate the Feedback without restriction or obligation to you.
12. Indemnification
12.1 Your Indemnification
You will indemnify and hold harmless Auriko, its directors, officers, employees, and agents from and against all liabilities, damages, and costs (including reasonable attorneys' fees) arising out of: (a) your breach of this Agreement; (b) Customer Data that infringes third-party rights or violates law; (c) your use of the Service in violation of applicable law; or (d) your violation of any LLM Provider's terms.
12.2 Process
We will provide you with prompt written notice of any claim subject to indemnification and cooperate in the defense. You may not settle any claim without our prior written consent if the settlement imposes obligations on us or admits fault on our behalf.
13. Disclaimers
The Service is provided "as is" and "as available." Except as expressly set out in this Agreement, Auriko makes no warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Auriko does not warrant that the Service will be uninterrupted or error-free, or that Outputs will be accurate or reliable.
Auriko does not control and is not responsible for the content, accuracy, quality, or reliability of any Output generated by LLM Providers. You acknowledge that LLM Outputs may be inaccurate, incomplete, or inappropriate, and you assume all risk associated with your use of or reliance on such Outputs.
Auriko is not responsible for the availability, performance, or conduct of any third-party LLM Provider. Provider outages, changes to provider terms, or provider discontinuation of models may affect your use of the Service.
Nothing in this Agreement limits any warranty or liability that cannot be excluded under applicable law.
14. Limitation of Liability
14.1 Indirect Losses
In no event will Auriko be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, whether based on warranty, contract, tort (including negligence), or any other legal theory, regardless of whether Auriko has been advised of the possibility of such damages.
14.2 Aggregate Cap
Auriko's total aggregate liability arising out of or relating to this Agreement shall not exceed the greater of: (a) the fees paid by you to Auriko in the 12 months preceding the event giving rise to the claim; or (b) one hundred United States dollars ($100).
These limitations apply to the fullest extent permitted by applicable law.
15. Governing Law, Arbitration, and Class Action Waiver
Notice: This Section contains a mandatory arbitration provision and a class action/jury trial waiver. You may opt out of arbitration within 30 days of accepting this Agreement — see Section 15.2(c).
15.1 Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
15.2 Arbitration Agreement
(a) Informal Resolution
Before initiating arbitration, you and Auriko each agree to attempt to resolve any dispute informally for at least 30 days. The informal resolution process begins when one party sends the other a written notice of the dispute ("Notice of Dispute"). The Notice of Dispute must: (i) describe the nature and basis of the claim or dispute; and (ii) set forth the specific relief sought. If you and Auriko are unable to resolve the dispute within 30 days after the Notice of Dispute is received, either party may commence arbitration.
(b) General
Read this section carefully. All disputes, controversies, or claims arising out of or relating to this Agreement or the Service that are not resolved through the informal resolution process in Section 15.2(a) will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator in San Francisco, California, unless the parties agree otherwise. If your claim is for $10,000 or less, you may choose whether arbitration is conducted in person, by telephone, or solely on the basis of documents.
(c) Opt-Out
If you are a new customer, you may reject and opt out of this arbitration provision within 30 days of accepting this Agreement by emailing support@auriko.ai with your full legal name and a statement of your intent to opt out. Opting out does not affect any other provision of this Agreement.
(d) Fees
If you initiate arbitration and your claim is for $10,000 or less, Auriko will reimburse the filing fee. For claims exceeding $10,000, filing fees will be governed by the AAA Rules. The arbitrator must issue a reasoned written decision.
(e) Equitable Relief
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, or from bringing an individual action in small claims court.
15.3 Class Action / Jury Trial Waiver
You and Auriko each waive the right to a jury trial and the right to bring, join, or participate in any class, collective, or representative action or proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. Any relief awarded may not affect other users.
15.4 Severability
If Section 15.3 is found unenforceable, the entirety of this Section 15 will be null and void, and the parties agree that exclusive jurisdiction will be in the state and federal courts located in Delaware.
16. Termination and Suspension
16.1 Your Termination
You may close your account at any time via the dashboard or by emailing support@auriko.ai.
16.2 Our Termination
We may suspend or terminate the Service or your account at any time, with or without notice: (a) for breach of this Agreement; (b) to comply with law; (c) if we reasonably suspect fraudulent or abusive activity; or (d) if providing the Service is no longer commercially viable.
16.3 Effect of Termination
Upon termination: (a) you must immediately stop using the Service; and (b) we will delete or anonymize Customer Data in accordance with Section 6 and our Privacy Policy, subject to any legal retention requirements.
If we terminate your account for violation of this Agreement, any unused Credits will be canceled and are non-refundable. If we terminate the Service or your account for any other reason (including discontinuation of the Service), any unused paid Credits remaining in your account will be refunded to your original payment method within 30 days of termination.
16.4 Survival
Sections 1, 5, 6.2, 9, 11, 12, 13, 14, 15, 16.3, 16.4, and 17 survive any termination or expiration of this Agreement.
17. General Provisions
17.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Service and supersedes all prior agreements concerning its subject matter.
17.2 Changes to Terms
We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via email or in-product notification. Your continued use after the effective date constitutes acceptance. If you object to changes, you may terminate your account as provided in Section 16.
17.3 Assignment
You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
17.4 Severability
If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
17.5 No Waiver
Failure to enforce any provision is not a waiver of future enforcement.
17.6 Force Majeure
Neither party is liable for delays or failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, pandemic, or government action. Force majeure does not excuse either party's obligation to make payments due under this Agreement.
17.7 Electronic Communications
By using the Service, you consent to receiving electronic communications from us, including notices, agreements, and disclosures. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
17.8 Export Control and Sanctions
The Service may incorporate technology subject to U.S. export control laws, including the Export Administration Regulations (EAR). You agree to comply with all applicable export control laws and regulations.
You must not use the Service, directly or indirectly, in or from any country, territory, or jurisdiction that is subject to comprehensive economic sanctions by the United States, including programs administered by the Office of Foreign Assets Control (OFAC). You represent and warrant that you are not, and will not provide access to the Service to, any person or entity: (a) on any U.S. government restricted party list, including the OFAC Specially Designated Nationals (SDN) List, the Denied Persons List, or the Entity List; (b) owned or controlled by sanctioned parties; or (c) acting on behalf of sanctioned jurisdictions or parties.
We reserve the right to monitor usage patterns and may suspend or terminate access if we reasonably believe the Service is being used in violation of export control laws or sanctions regulations.
17.9 Service Availability and Interruptions
We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time without notice. We have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance. Nothing in this Agreement obligates Auriko to provide any updates, patches, or maintenance for the Service.
17.10 Location of Originating Requests
We strive to accurately provide to LLM Providers the country of your originating request when accessing the Service through APIs. However, due to limitations of currently available technology (including edge network routing and proxy configurations), it is not always possible to accurately represent your country of origin, and this limitation may affect your ability to use certain LLM Providers. You understand and agree that Auriko is not responsible for any incorrect location reporting to LLM Providers.
17.11 Publicity
Auriko may identify you as a user of the Service and may use your name and logo on Auriko's website, customer lists, and marketing materials. You may opt out of this use at any time by emailing support@auriko.ai, and we will remove your information within 30 business days of receipt, though previously published or cached materials may continue to display your information.
17.12 California Residents
If any complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
17.13 Limitation on Claims
Any claim arising out of or relating to this Agreement must be brought within one (1) year after the cause of action arises, or such claim is permanently barred. This limitation applies to all claims, whether based on contract, tort, statute, or any other legal theory.
